What "Access Denied" problem? There is no common "Access Denied problem on files created by the Administrator using NotePad". You need to give a lot more details about what you are doing, the version of XP you are using, user accounts on the system, whether this is a standalone machine or member of a domain, and the full path of where the files reside.
