Thank You Shenan Stanley, I used your 1st. step and it worked... After I read
the fix steps it made total sense
but this is the first time this ever happened to me after an upgrade of XP
Home to XP Pro. Once again thank you very much for your help.

behavior. But because of my update problem, my ie Windows keep
locking up and opening, 10 ie windows open and quickly close etc.
etc. I had to Validate to get the download and I did but the
download would lock up, so I downloaded it from another PC to a USB
memory stick stuck it in the DELL, installed it rebooted and I had
a good working PC again. BUT still can not get updates. HELP PLEASE
!!!

Updates are not installed successfully from Windows Update,
from Microsoft Update, or by using Automatic Updates after
you repair a Windows XP installation

Get Dial-a-Fix:
http://wiki.djlizard.net/Dial-a-fix

Use its options to fix:
- Windows Installer
- Windows Update
- All the Registration Center options.

Turn off the "Empty System32\Catroot 2"
Do NOT do "Flush SoftwareDistribution".

Then click "GO" and wait until it is done... Reboot will be needed.

- Download/Install Windows Update v3.

(You *may* need to install it using the command line switch "/wuforce"
right after the reboot - immediately after logging in.)

- Download/Install the 927891 patch.

- Reboot.

- Visit http://windowsupdate.microsoft.com/ and scan for/install updates.

- Come back and let us know how things went!
