What are the names of the processes that you are trying to kill?

Have you elminated malware (virus, spyware, trojan, etc) as the
possible source of the unwanted process(s)?

Using Task Manager to kill a process should only be done as a last
resort, when all other actions such as reconfiguring the associated
application so as to not launch the offending process, or perhaps
uninstalling the associated application completely.

What resource or reference site are you using to identify these
processes as not being necessary? The most common instances of
"access denied" when trying to stop a process are when they are
malware items that are protecting themselves or when are genuine
processes that are required for the proper and normal functioning of
Windows.
