Since Windows XP Home does not have encryption, it is not an Encrypted File
System (EFS) issue.
You have already tried Ownership.
So it is unlikely a Windows issue.

1st it considers it a older version. and tries to convert it to the new

My drive is the C: drive.
I have made sure the file is not checked as read only in the properties.
I have claimed the ownership of the file.
The only thing I can think of is that some how the file is locked by
Money.
and even though I am using the same pass word it will not recognize it.
Which relates back to the backup of the owner files originaly done when I
used the restore disk.

Any suggestions.

If Pro, did you encrypt the data?

If you did not encrypt the data, taking Ownership should resolve it.

If you did encrypt the data, you need access to the original encryption
keys.
