Administrator Problems

I upgraded from ME to XP Pro, all was OK, but now I can't
access Control Panel. I have two accounts on the machine,
both say they have admin rights. The only true admin
rights are the 'Administrator', but the 2nd accoung DID
have access to control panel, now it doesn't! Any ideas?
