new hardware

I am replacing my mother board and my CPU (P3 788MHz to
P4 2.6 Ghz and ASUS Tek M.B.). What will I need to do
with respect ot activation?

 I will be using the original hard drive: will it need to
be re-loaded? Upgrade or New Install?

Any thing I need to know about BIOS, or for that matter
anything else that I may not know about. My previous
experince is limited to replacing HD's, CD drives, etc.

Can I load my copy of home XP onto a second computer in
my home?

TIA for any help/suggestions you can provide.
