We found it! It's the Auto time sync
to "time.windows.com" - we finally put a sniffer on one of
the boxes to see what was going on and it was going out to
the Internet to authenticate time. It did it every couple
of minutes, so our 10 minute time-out session didn't work,
and since you never lost connection with the Internet, no
prompt for password. I turned off that "feature" - which
is automatically turned on with XP. It is a "feature" with
Win 2000 as well, but you have to manually turn it on.

I now have one less headache for the week. thanks
