If you can get into another account, open up a command prompt window (
Start>Run> type in: CMD, hit enter)
At the command prompt, type in:

net user administrator *

Hit enter and change the password to whatever you want.

If the only account on the box is the admin account(which you are locked out
of), and the guest account is disabled, then the only way is to create the
NT boot disk suggested in an earlier reply.
