No admin privileges in administrator mode

Hi,

New install win xp pro from fresh... kept FAT32 just in
case...

Now after the install all is well, create my administrator
account and limited account.

Now want to add raspppoe for adsl and check for upgrade so
log as admin and run windows update.... Each time I have
access denied while being logged as the admin... Cannot
edit the registry ...

Do the safe mode bit, remove all passwords.... etc... log
back in as admin and still I cannot get administrator
privilege while logged as admin.... WHY ??? Please help
cause this is to me a weird one...
