I don't have a problem with the shutdown prompt, just the startup prompt.
The only prompt at startup I'm aware of is actually the shutdown prompt coming up because it didn't get a reason at shutdown (eg you pull the plug) -- what's the Window title of your obnoxious prompt?
The shutdown prompt is disbaled via Group / Local Policy -- Computer Configuration / Administrative Templates / System / Display Shutdown Event Tracker -- you could try disabling it and see if that fixes your problem.
