How to transfer NT4 domain to W2K domain?

Hello All,
I need some help. I got working NT4 domain. Now my boss
told me to install Windows 2000 domain instead of later one.
He asked not to destroy or modify existing NT4 PDC and its
users. Just install new Win2000 server with Active Directory.
Basicaly, it's not the problem, I can do it. The problem is to
transfer all users and groups correctly to new domain. How can I do it?
Is it possible at all?
The next problem is in my file server with tonns of different permissions.
I'm going to move it to new domain, but how can I keep existing permissions?
To create new permissions is very hard job, I'd like to accomplish transfer
in easier way, at less time interval.
Any suggestions?
