Sounds like one of your background programs is not shutting down quick
enough so Windows is asking you if you want to kill it or give it more time.
Use msconfig (http://www.thetechguide.com/downloads/msconfig.zip) or Mike
Lin's Startup applet (http://www.mlin.net/StartupCPL.shtml) to disable all
your startup programs (in the Startup group and those in the registry)
except one, reboot, and shutdown to see if you still get this message.
Continue reenabling the startup programs, rebooting, and shutting down until
you find the one that is unresponsive on a shutdown.
