The shares placed on W2k requires "unknown" password when accessed from
their 9x colleges?

If this is the problem, so this is the explanation:

W2k uses always users when access must be granted for some resource - shares
are the same, but by default, the "Everyone" group is allowed to access the
share from network - "Everyone" stoods for all users with valid accounts on
W2k workstation/domain.
So, when accessing the share from 9x, pass some valid user name and
associated password for the user (user already presented on W2k) and enjoy
network performance.
