Ended up removing and reinstalling SQL2k.
Upon running SP2 it failed at the MDAC screen.
Went into SQL and it gave the same error message as after
the MS02-61 hotfix... I ran mdac 2.7 and tried again -
Nope.
But 3 mins later i checked again after going and talking
to the dba about deleting the DataAccess Registry key (he
nodded to this) and SQL came up.
SP2 still wouldnt run: Deleted Registry key after saving
it and it still didnt run SP2.
Went back and Ran MDAC 2.6 and got another server that was
WAY too big for this account and After MDAC 2.6 Ran SP2
ran just fine...
Hotfixed and turned it back over to the DBA to re-attach
the data....

Hopefully this has a happy ending... but im breathing
again. (definately thinking it was a Registry error, but
was under the gun and didnt have time to look)...
