net1.exe question

Hi, this might sound like a dumb question and probably is.

One of our co-location servers has net.exe and net1.exe
appearing in the process list. Two 'identical' co-lo servers
do not have these services listed. The box that does appears
to be acting up but reports as having no virii, trojans or other
malware. The web sites appear to be throttled, yet there is
no bandwidth throttling enabled, and all the boxes are on the
same backbone. There are no out-of-the-ordinary reports
in the event log either.

My question is, should net.exe and net1.exe be appearing
in the tasklist. I've tried googling around but could not come
up with any suitable answers and I'm running out of time.
If anyone has any answers they would be most appreciated.

(The boxes are running win2K server and act as web servers.)
