I´ve had the same problem as you, after done all the "sasser" things,
my last thing that i did was,
Started in safe mode
open cmd and had shutdown -a ready (use it if the shutdown thing
appers)
Installed once more SP1 for 2003 (had sp1 installed from the begining),
and it work ok, did get some update failed but after the sp installed
and a reboot the machine lived again!, puh!
So my clue what cause this was when i installed exchange system manager
on my other dc, after that the faulty one started messing, some how in
coruppted lsass.exe
