I Figured it out!! .. damn POS :) ... but then again computers offer a
wide array of problems and funtimes :) heheh .. ne who figured out
what the problem was ... it was the
HKLM\Software\Microsoft\Windows\CurrentVersion\RunOnce key ..
regsvr32.exe was trying to register a multimedia component ...

I still have a problem, when shutting down... I'll try hacking at it
for a while .. I'll drop a line then ..
