W2K NTFS permissions question

hello, i would like to setup the following:

c:\folder

where

group1 has full NTFS perms, and group2 has all perms but the ability
to create a directory under c:\folder.

I will block propagation of inheritance, the folder will be shared w/
both groups having FC, with NTFS as the filter.

I have tried using an explicit DENY for the "create folders/append
data" perm under advanced->view/advanced, but w2k (SP2, BTW) keeps
taking away write and modify perms as well.

How can this be done?
