First - save yourself some grief and just disable the Licensing
Service under the services control panel. It's just plain buggy and
doesn't seem to be able to count. As far as I know, all it does is
nag and doesn't prevent access. I routinely disable it off to avoid
the annoying error messages and haven't had a proplem.

Second - all of your users, shares, and permissions should stay intact
if you reinstall into the original folder - aka an upgrade.
