Not necessarily. It could very well be an all stock deal with a company
thats on the ropes. If someone is devalued to the point of choosing
liquidation or restructuring, selling for pennies on the dollar does not
seem like such a bad idea. In the .com fallout, I saw a stock deal valued
at 3 million, even though the company being bought had 7 million in the
bank. Still trying to wrap my mind around that one.

All FUD aside though, I obviosly do not have any idea how well NFR is
doing financially. Their web site mentions a $22m round of funding in
April or 2001, and about 120 employees working in 19,000sq ft of space.
Depending on what they paid for their aquisitions, I'd bet they are doing
fine.
